IAM DAILY SERVICE AGREEMENT THIS AGREEMENT is by and between IAM DAILY, whose address is 5549 B LBJ FRWY Ste # 112, Dallas, Texas 75240, hereinafter referred to as "Company", and , FULL NAME (First, Middle, Last)  * required DATE OF BIRTH BUSINESS NAME  * required YEARS ESTABLISHED MAILING ADDRESS  * required CITY, STATE, ZIP CODE PHONE IAM DAILY is in the business of providing web/graphic design, custom logo creations, and advertising services for a fee. NOW, THEREFORE, in consideration of the mutual agreements and covenants herein contained, the parties hereto agree as follows: 1. Authorization The above-named client is engaging IAM DAILY, a sole proprietor, as an independent contractor for the specific project of developing a World Wide Website to be installed on the client’s web space on a web hosting service’s computer. The client hereby authorizes IAM DAILY to access this account, and authorizes IAM DAILY with “write permission” for the client’s webpage directory, cgi-bin directory, and any other directories or programs which need to be accessed for this project. The client also authorizes IAM DAILY to publicize their completed website to Web Search Engines, as well as other Web Directories and indexes, if advertising is included in the web design package. Text - supplied by client via diskette, typed, emailed, or legibly printed. (max 200 words per page if not supplied via diskette or email.) Photos/Graphic Images – supplied by client, unless photography or graphic design services are included in the web design package. Feedback Form – includes up to 20 fields. Email Addresses – max of 5 email addresses for your convenience. (Sample you@yourdomain.com) 2. Services IAM DAILY engagement shall relate to the following products and services of Client: (Please check all that apply) Web Design Logo Creation Printing Graphics Custom Package 3. Turnaround Logo creation - 48 hour turnaround; Graphics - 48 hour turnaround; Printing - 7 to 10 days after project approval. For website design services, the content of the web pages will be supplied by the client and executed as specified by the client within 7 – 10 business days after text and photos are received. IAM DAILY and client must work together expeditiously to complete the website in a timely manner. It is imperative that client supplies all photos, graphics, and text needed to publish on site. 4. Compensation For web design, logo creation, and graphics...A non-refundable Security deposit of  50% is required upon signing agreement and the remaining amount of 50% will be required after site is completed, approved, prior to being published, and not to exceed 3 days after site completion. IAM DAILY reserves the right to assign subcontractors to this project to insure the right fit for the job as well as on-time completion. 6. Copyrights and Trademarks The client represents to IAM DAILY and unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork furnished to IAM DAILY for inclusion in web pages are owned by the client, or that the client has permission from the rightful owner to use each of these elements, and will hold harmless, protect, and defend IAM DAILY and its subcontractors, if any, from any claim or suit arising from the use of such elements furnished by client. 7. Copyrights to Web Pages Copyright to the finished assembled work of web pages produced by IAM DAILY is owned by IAM DAILY. Upon final payment of this contract, the client is assign rights to use as a website the design, graphics, and text contained in the finished assembled website. Rights to photos, graphics, source code, and computer programs are specifically not transferred to the client, and remain the property of their respective owners. IAM DAILY and its subcontractors retail the right to display graphics and other web design elements as examples of their work in their respective portfolios and online. 8. Final Agreement. This Agreement terminates and supersedes all prior understandings or agreements on the subject matter hereof. This Agreement may be modified only by a further writing that is duly executed by both parties. 9. Governing Law. This Agreement shall be construed and enforced in accordance with the laws of the states within the United States of America.
